Registration and Password: The Contract is considered established or registered, the moment User’s Name and Password to www.cdtech.in have been displayed on screen or sent to the User by www.cdtech.in, via email. Scope of Agreement: You shall be responsible for maintaining the confidentiality of your Password & shall be responsible for careful use and storage of your User Account and User Name. We also urge the User to change the assigned Password, regularly, to prevent misuse or theft of login information. Services: www.cdtech.in provides excellent SMS Service on website, 24hrs x 7 days – 365 days a year. To use the Service, the User must obtain access to World Wide Web, either directly or through devices that access Web-Content. All fees are payable upfront, before your membership is recognized and activated. In addition to this, the User must provide all equipments like a Modem, a Computer and other accessories needed to make the Connection to World Wide Web. Risks: The User agrees with clarity, that the access to Internet, Mobile Network And other communication media is associated with risks concerning authentication, data security, privacy, availability of services, reliability of transmission etc. The User also agrees to bear full responsibility and sole responsibility arising from such risks and the consequences of the User’s usage of www.cdtech.in services. The User agrees to take complete responsibility that all website activities linked to his User name and password are believed to be performed by the User, himself and are legally binding for the User. Limitation of Liability: The services and all information, products and other content,( including third party information, products and content) included in or accessible from this website, are provided the same way and are subject to change at any time, without prior notice. Delivery: The User agrees that www.cdtech.in sms messages via major telecommunications Companies and mobile network providers. Hence, it influences only Delivery with regard to transmission of SMS messages, within the technical constraints imposed by the major providers. The SMS transmitted via www.cdtech.in will be transferred to the addressed mobile recipients, within variable time depending on the overcrowding, provided that the recipient’s phone is switched on and located in the area covered by his mobile network provider. Although, www.cdtech.in will do its best to deliver each requested message, we do not guarantee the delivery of messages. We cannot be held responsible for issues like network failure, network delays, carrier failures, carrier delays, and technical failures etc. which are beyond our control. The User is charged only when www.cdtech.in is charged. Fees, Payment and Your Right To Cancel: Fees: In consideration for the use of www.cdtech.in’s Services, the User shall pay to www.cdtech.in, an appropriate transaction or subscription Fee, for the messages delivered or partially delivered, at the applicable rate, then in effect. www.cdtech.in may offer, from time to time, a limited time “Free Trial” or any other promotions, during which no transaction fees or reduced transaction fees shall apply. Such promotions are intended for Users to test the capabilities of the Service for casual, personal use only. During such promotions, all provisions of this Agreement shall remain in full effect. All Fees are payable upfront. Failure to purchase credits upfront will result in suspension of the Services. Upfront payment refers to a payment that is made within a reasonable time, so as to allow www.cdtech.in to add the SMS credits to the User’s Account. Payment: Transaction Fees are duly payable at the time of or before www.cdtech.in delivers a message to the User’s recipients, via the Billing Plan selected by www.cdtech.in. The Payment shall be deemed complete, the moment the fee is available in CD Tech’s bank account. Termination or Cancellation by User: The User is free to terminate or cancel this Agreement, any time and for any reason provided. Such termination or cancellation shall be effective, when the User carries it in accordance with the policies and procedures established by www.cdtech.in. The User agrees that www.cdtech.in is dependent on several telecommunication networks and institutions for the delivery of its messages. Hence www.cdtech.in may adjust its prices, as per the change in the prices of the respective networks. Should there be an increase in the charges; www.cdtech.in undertakes to notify the User of such adjustments in writing, before implementing such changes. The www.cdtech.in will give the User 14 days notice, regarding the increase, which will be applicable to the credits that are still in the User’s message unit Account. Within the notification period, the User may decide to continue with our services and the said increase; or to suspend or cancel his services, whereby, www.cdtech.in shall refund the remaining value of any message credits that may be left over in the User’s Account. If the User does not have any credits left, his account will, automatically, expire. The User’s Account shall be re-activated upon payment for new message units. Any message units purchased must be used within 6 months from the date of purchase. Refunds of SMS message credits: There are no refunds. You can use our free service as long as you like. You become a paid User if you are satisfied and need to send more than the free allotment. Excluding SMS message credit fees, Users have to pay License Fee, monthly administration fees, branding fees. No refund will be made for any fees which are related to SMS message credits. Purchasing Rules: www.cdtech.in can place any limits on purchasing credits. User’s email address listed in www.cdtech.in control panel must match Payer email address, used at the time of purchase. If email addresses do not match, credits will not be added. The same payer email address cannot be used for more than one www.cdtech.in account. Financial commitment upon termination or cancellation: Suppose the termination of our services result in situation where the User still has credits or messages that are prepaid, at any stage, the User shall lose the monetary value of such credits. Referral Credits: Users can earn free credits like a few percent from the purchases of the Customer referred by the User. Credits will be added to the User’s balance, at the time of the referrals payment. www.cdtech.in reserves the right to limit total credits earned and end the referral program any time. www.cdtech.in also has the right and sole discretion to remove the referral status for an account. The referral account incentive is only for accounts created and utilized by new customers. The additional accounts of existing Users, donot qualify for referral credits. 12. Modification of Terms: You must comply with all the rules and regulations, obligations and restrictions pertaining to you. If any term of this Agreement is held invalid or unenforceable, the remaining part shall not be affected. This Agreement may not be changed or modified, except in writing, by an Authorized Officer of www.cdtech.in. As such, www.cdtech.in has the right to modify the Terms of this Agreement and to change or discontinue any part or feature of www.cdtech.in service, as and when it deems it necessary. Such changes will be effective the moment the change is made. Suppose the User uses the service, after such change has been made, it automatically constitutes that the User has accepted these changes. If the User does not agree to these changes, the Services shall be cancelled in accordance with the cancellation procedures, set forth in this Agreement. The User accepts his responsibility to review this Agreement from time to time, to keep in touch with the modifications.
